Taiyo Nippon Sanso Corporation (Headquarters: Shinagawa-ku, Tokyo; President: Kenji Nagata; hereinafter “TNSC”) , a Japanese industrial gas business company in the Nippon Sanso Holdings Group, signed an agreement (the “Agreement”) on December 24, 2024 with Resonac Corporation (President: Hidehito Takahashi; hereinafter “Resonac”) to acquire the Resonac Group’s exhaust gas abatement equipment business in Japan and Taiwan (the “Business,” and the acquisition hereinafter referred to as the “Acquisition”). Under this Agreement, (1) Resonac will first transfer the Business to its wholly owned subsidiary, Clean-S Showa Co., Ltd. (“Clean-S Showa”), through an absorption-type company split. Following this restructuring, TNSC will acquire all issued shares of Clean-S Showa. (2) TNSC’s subsidiary, Taiyo Nippon Sanso Engineering Taiwan, Inc., will acquire the Business from Resonac Specialty Gas Taiwan Co., Ltd., a subsidiary of Resonac.

1. Synergies from This Acquisition
The Resonac Group, when the company was known as Showa Denko, broke new ground in 1985 by developing and selling exhaust gas abatement equipment—the first of their kind in the industry. Over the years, the Resonac Group has continuously provided a range of exhaust gas abatement solutions to meet evolving customer needs. Its offerings include equipment that converts hazardous acidic gases generated during semiconductor dry etching, as well as perfluorocarbon (PFC) gases—contributor to global warming—into safer, cleaner gases.
Following this Acquisition, TNSC intends to strengthen its ability to provide exhaust gas abatement equipment solutions and expand its product lineup in Japan and Taiwan. At the same time, TNSC will leverage its established sales network to explore demand for reducing greenhouse gas emissions—contributor to global warming. TNSC also aims for improving efficiency and earnings growth through synergies in the supply chain, thereby increasing additional value of its exhaust gas abatement equipment business.
2. Scheduled Completion of the Acquisition and Its Impact on Business Performance
This Acquisition is scheduled for completion in June 2025, provided that all conditions specified in this Agreement are met. We anticipate that the impact of this Acquisition on the business performance of TNSC and Nippon Sanso Holdings Corporation will be minimal.
